Terms of Service
DemaFora Health
Effective date: [EFFECTIVE DATE]
Last updated: [LAST UPDATED DATE]
These Terms of Service ("Terms") are an agreement between you and [LEGAL ENTITY NAME] ("DemaFora Health," "DemaFora," "we," "us," or "our"). They govern your use of demaforahim.com and demaforaher.com (the "Sites") and your DemaFora membership (together, the "Services").
Please read these Terms carefully. They include automatic renewal terms (Section 4), a limitation of liability (Section 12), and [IF ADOPTED: a binding arbitration agreement and class action waiver (Section 14)]. By using the Services or purchasing a membership, you agree to these Terms.
1. What DemaFora is — and isn't
DemaFora Health is a cash-pay telehealth membership brand. Through DemaFora, members can access programs such as weight management, lab panels, and similar programs.
- DemaFora does not practice medicine and does not provide medical, nursing, or pharmacy services.
- All medical evaluations, diagnoses, treatment decisions, and prescriptions are made by independent, licensed clinicians in Elite Care Health (the "Providers").
- Intake (start.demaforahim.com / start.demaforaher.com) runs on a technology platform operated by Karpa Health.
- Prescribed medications are dispensed by Rx Ave, a licensed pharmacy.
2. Eligibility
To use the Services you must:
- Be at least 18 years old;
- Be physically located in a state where the Services are offered at the time of each consultation (telehealth services may be available in all 50 states where clinically appropriate and permitted by applicable law);
- Provide accurate, complete, and current information, including during medical intake; and
- Be able to form a binding contract.
Availability of specific programs varies by state. We may refuse or end Services where eligibility is not met.
3. Your account
You are responsible for keeping your account information confidential and for activity under your account. Tell us promptly at [SUPPORT EMAIL] if you suspect unauthorized access. Accounts are for individual use only — you may not create an account for another person or share your account or medications.
4. Membership, billing, and automatic renewal
- Monthly plan: $50 per month.
- Annual plan: [ANNUAL PRICE] per year.
- What membership includes: [MEMBERSHIP INCLUSIONS — e.g., access to Provider consultations, messaging, program support]. Unless stated otherwise at checkout, medications, lab tests, and shipping [ARE / ARE NOT] included in the membership fee and may be billed separately. [DECISION]
- Cash-pay: The Services are self-pay. We do not bill insurance. [COUNSEL: confirm statements on HSA/FSA eligibility, if any.]
- AUTOMATIC RENEWAL: Your membership renews automatically at the end of each billing period (monthly or annual) and your payment method will be charged the then-current price until you cancel. You can cancel at any time as described in our Cancellation and Refund Policy at [LINK]. We will send any renewal reminders required by law (for example, before an annual plan renews).
- Price changes: We will notify you in advance of any price change, and you can cancel before it takes effect.
- Failed payments: If a payment fails, we may suspend Services until payment is made.
- Taxes: Prices may not include applicable taxes.
5. Cancellation and refunds
See our Cancellation and Refund Policy at [LINK], which is part of these Terms.
6. No medical advice from the Sites
Content on the Sites (including articles, program descriptions, and marketing) is for general information only and is not medical advice. It does not create a provider-patient relationship. Only a licensed Provider, after evaluating you, can determine whether a treatment is appropriate for you.
Always talk to a qualified health care provider about your health, and never ignore professional medical advice or delay seeking it because of something you read on our Sites.
Prescription medications require a valid prescription from a licensed Provider after an evaluation. Not everyone is a candidate for treatment. A Provider may decline to prescribe, request lab work, or recommend in-person care.
Individual results vary. We do not guarantee any particular outcome.
All medications carry risks and possible side effects. Your Provider and pharmacist will provide information about your specific medication.
Not for emergencies. If you think you are having a medical emergency, call 911 immediately. Services are only for adults 18 and older.
7. Providers are independent
The Providers in Elite Care Health are independent professionals who exercise their own clinical judgment. DemaFora does not control, direct, or interfere with medical decisions. A provider-patient relationship, if any, is between you and your Provider. Your use of the medical services is also subject to the Telehealth Informed Consent at [LINK] and any terms of Elite Care Health and Karpa Health presented to you.
8. Prescriptions are at the Provider's discretion
- A valid prescription from a licensed Provider is required for any prescription medication.
- Paying for a membership does not guarantee that you will receive a prescription or any particular medication, dose, or treatment. Providers may decline to prescribe, request lab work or more information, recommend in-person care, or stop treatment if it is not medically appropriate.
- You agree to give truthful, complete health information and to tell your Provider about changes in your health or medications.
- Medications are dispensed by Rx Ave. Pharmacy services are subject to the pharmacy's own policies.
- Compounded medications, where prescribed, are prepared by a licensed pharmacy. Compounded medications are not FDA-approved, and the FDA does not evaluate them for safety, effectiveness or quality. They are not generic versions of finished commercial drugs.
9. Acceptable use
You agree not to:
- Provide false information or impersonate anyone
- Use the Services if you are under 18 or outside a served state
- Resell, share, or transfer any medication prescribed to you
- Interfere with, hack, scrape, or disrupt the Sites or platform
- Use the Services for any unlawful purpose
- Harass or abuse Providers, pharmacy staff, or our support team
We may suspend or terminate access for violations.
10. Intellectual property
The Sites and their content, including the DemaFora name, logos, text, graphics, and design, are owned by or licensed to [LEGAL ENTITY NAME] and protected by intellectual property laws. You may use the Sites for personal, non-commercial purposes only. You may not copy, modify, distribute, or create derivative works without our written permission.
11. Disclaimers
Individual results vary and no particular result is guaranteed. THE SITES AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, DEMAFORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DEMAFORA DOES NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED OR ERROR-FREE. DEMAFORA IS NOT RESPONSIBLE FOR THE MEDICAL JUDGMENT OF PROVIDERS OR THE SERVICES OF ANY PHARMACY OR THIRD-PARTY PLATFORM.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DEMAFORA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE [12] MONTHS BEFORE THE CLAIM OR (B) [$100]. Some states do not allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnification
You agree to indemnify and hold DemaFora harmless from claims arising from your violation of these Terms or misuse of the Services, including providing false information. [COUNSEL: confirm scope/enforceability for consumers.]
14. Dispute resolution and governing law
- Governing law: These Terms are governed by the laws of [GOVERNING LAW STATE], without regard to conflict-of-laws rules.
- Informal resolution: Before filing a claim, you agree to contact us at [LEGAL EMAIL] and try to resolve the dispute informally for [30] days.
- [OPTION A — Arbitration:] [Any dispute will be resolved by binding individual arbitration administered by [ARBITRATION PROVIDER] under its consumer rules, in [VENUE/REMOTE]. You and DemaFora waive the right to a jury trial and to participate in a class action. You may opt out of arbitration within [30] days of first accepting these Terms by emailing [LEGAL EMAIL]. Either party may bring qualifying claims in small claims court.]
- [OPTION B — Courts:] [Disputes will be resolved in the state or federal courts located in [VENUE].]
15. Termination
You may stop using the Services and cancel your membership at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we stop offering the Services in your state. Sections that by their nature should survive termination will survive.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, notify you by email or on the Sites. Continued use after changes take effect means you accept them. Changes to pricing will not apply to a billing period you've already paid for.
17. General
These Terms (with the policies they reference) are the entire agreement between you and DemaFora about the Services. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent.
